IP assignment

An IP assignment is a contractual clause transferring ownership of intellectual property created by an individual to a company. Assignments are required in founder, employee and contractor agreements to ensure the company owns work produced on its behalf.

In plain terms: The clause that makes work someone did for you actually belong to your company.

Why it matters

Surfaces years later, during diligence, when the contractor who wrote a core component is unreachable and never signed one. Every agreement with anyone who creates anything should contain an explicit assignment.
