Cap table

Also known as Capitalisation table

A cap table records who owns a company's equity, in what quantities and on what terms, including shares, options, warrants and convertible instruments. It determines each holder's ownership percentage and what they receive in an exit.

In plain terms: The definitive record of who owns how much of the company.

Why it matters

Diligence checks it line by line. Errors that seem trivial early — an undocumented share issuance, a promised allocation never formalised — become the thing delaying a close, and are far harder to fix retroactively.
